• Flashcard and spaced-repetition study systems
• Adaptive quiz generation
• Document summarisation and note generation
• AI-powered chat with your documents
• Mind maps, podcasts, and learning analytics

The Service is intended for educational and informational purposes only.

3. No Professional Advice

The Service does not provide financial, legal, medical, accounting, tax, or professional certification advice.

AI-generated content may contain inaccuracies, omissions, or outdated information. You are responsible for independently verifying educational materials before relying on them for exams, certifications, professional work, or other important decisions.

Pheyn does not guarantee exam performance, certification outcomes, or academic results.

4. User Accounts

You may need to create an account to access certain features. You agree to:

• Provide accurate and current registration information
• Maintain the confidentiality of your login credentials
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorised access or security breach at info@pheyn.ai

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or compliance risk.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload harmful, malicious, or illegal content
• Attempt to reverse engineer, decompile, or disrupt the Service
• Use automated systems to scrape, crawl, or overload the Service
• Misrepresent AI-generated content as official exam material or authoritative professional guidance
• Infringe the intellectual property rights of Pheyn or any third party
• Use the Service to generate fraudulent, deceptive, or abusive content
• Share your account or credentials with others
• Circumvent or attempt to circumvent any subscription or access controls

We may suspend or terminate access for any violation of this section.

6. Educational Content and AI Outputs

The Service may generate explanations, summaries, flashcards, quizzes, practice questions, mind maps, and other educational materials using artificial intelligence.

These outputs:

• Are generated automatically and may be incomplete or inaccurate
• Reflect probabilistic model behaviour and may differ between sessions
• May contain errors, outdated information, or inconsistencies
• Are not endorsed by any exam body, certifying authority, or institution

You assume full responsibility for reviewing, validating, and determining the appropriateness of any AI-generated content before relying on it.

7. User Content

You retain ownership of content you upload, submit, or create through the Service ("User Content"). By submitting User Content, you grant Pheyn AI, Inc. a non-exclusive, worldwide, royalty-free licence to host, store, process, and display your User Content solely for the purpose of operating, maintaining, and providing the Service to you.

We do not use your User Content to train AI models or share it with third parties for commercial purposes unrelated to providing the Service.

You represent and warrant that you have all necessary rights to upload your content and that your User Content does not violate any applicable law or third-party rights.

8. Intellectual Property

The Service — including its software, design, branding, algorithms, UI, and all non-user content — is owned by Pheyn AI, Inc. and protected by applicable intellectual property laws.

You may not, without our prior written permission:

• Copy, reproduce, or redistribute any part of the Service
• Modify, adapt, or create derivative works
• Reverse engineer or decompile any component
• Commercially exploit the Service or its content
• Remove or obscure any proprietary notices

9. Subscription and Payments

Certain features require a paid subscription (Pheyn Pro). By purchasing a subscription, you agree that:

• Fees are billed as disclosed at the time of purchase
• Subscriptions renew automatically at the end of each billing period unless you cancel before renewal
• You are responsible for all applicable taxes
• Refunds are governed by applicable law and the policies of our payment processor
• We may modify pricing with reasonable advance notice

To cancel your subscription, visit your account settings or contact us at info@pheyn.ai. Cancellation takes effect at the end of your current billing period.

10. Third-Party Services

The Service integrates with third-party providers including AI model inference providers, cloud infrastructure providers, and payment processors. We are not responsible for:

• Third-party outages or service interruptions
• The behaviour, terms, or privacy practices of external platforms
• Content generated by third-party AI systems

Your use of any third-party service may also be subject to that provider's own terms and conditions.

11. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, processing, and use of your information as described therein.

12. Service Availability

We do not guarantee uninterrupted or error-free operation of the Service.

We may at any time, without liability:

• Add, modify, or remove features
• Impose usage limits or rate limits
• Conduct scheduled or emergency maintenance
• Suspend or discontinue the Service in whole or in part
• Restrict access in certain jurisdictions

Where practicable, we will provide reasonable advance notice of material changes that affect paid subscribers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

To the maximum extent permitted by applicable law, Pheyn AI, Inc. expressly disclaims all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content or AI outputs
• Uninterrupted or secure operation
• That outputs will satisfy any exam, certification, or professional standard

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHEYN AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, EXAM OR CERTIFICATION FAILURES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Where liability cannot be fully excluded, Pheyn AI, Inc.'s total aggregate liability to you shall not exceed the greater of (a) the amount you paid to use the Service during the 12 months immediately preceding the claim, or (b) US $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Pheyn AI, Inc. and its affiliates, officers, employees, contractors, and partners from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

• Your use of or access to the Service
• Your violation of these Terms
• Your User Content
• Your infringement of any third-party rights

We may suspend or terminate your access to the Service at any time if:

• Required by law or regulatory authority
• Necessary to protect the security or integrity of the Service or other users
• Fraudulent or abusive activity is detected on your account

You may stop using the Service and delete your account at any time. Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 13, 14, 15, and 17) will continue to apply.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Notwithstanding the foregoing, Pheyn AI, Inc. may seek injunctive or other equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting an updated version on this page with a revised "Last Updated" date. Updated Terms become effective upon posting.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
